Case 35: Stock Repurchase Program Recommendation

Memo To:Rajat Singh, managing director at Hudson Bancorp From: Date:08/01/2002 Re:Stock Repurchase Program Recommendation The purpose of this memo is to examine whether Deluxe Corporation should increase borrowings to buyback stocks. After considerable analysis of the company’s financial position, we recommend that Deluxe Corp. to borrow up to $1. 023 billion to buy back 34,175 shares. In order to achieve this, Deluxe will need to lower its bond rating from A rating to BBB , which results in a decrease in WACC from 11. 47% to 9. 5%. By doing this, Deluxe ’s WACC is minimized, yet the bond rating is still at investment –grade rating; plus, the firm will have a financial flexibility of $872 million, and an increase in its equity value per share by $35. 34. This memo explains in detail the calculation of the current WACC, the current intrinsic equity value, the unused debt capacity at different ratings, and the recommended WACC as well as the estimated increase in e quity value with respect to the new WACC at the recommended debt borrowing level.Current WACC Based on our calculation, the current WACC is 11. 47% as of August 01, 2002. In this calculation, for the borrowing rate, we use 5. 70% regarding Deluxe’s bond rate A from Exhibit 8. The marginal tax rate is is projected to be 38%. We use 5. 41% for the risk free rate of return with respect to the 20 years U. S Treasury bond. The equity risk premium and beta are given at 6% and . 85, respectively.Since the beginning of 2002, Deluxe had retired all of its long term debt, we calculate the total debt by adding the short-term debt and the long-term debt due within one year to arrive at $151 million; for the total equity, we multiply the number of shares outstanding which is given in the company’s 2001 Financial Summary, by the market adjusted close price per share which we look up in yahoo finance to get to $1,568 million. For the small stock risk premium, we use 1. 73% as Deluxeà ¢â‚¬â„¢s total equity is between $1. 05 billion and $1. 6 billion. Current intrinsic equity valueDeluxe’s intrinsic equity value as of August 1, 2002 using a discounted cash flow analysis and the current WACC of 11. 47% has a premium of $2. 38 over the current market value. We estimate the terminal value growth rate to be at -2%; we make this assumption by taking the average of the industry’s annual decline growth rate between 1% and 3%. The free cash flows for 2002-2006 are taken from the company’s Financial Forecast; and, to calculate the terminal year’s free cash flows, we grow it by -2% and divide it by the difference between the WACC and the long term growth rate.Since August 1st is our evaluation date, there is still 5 months left for 2002, the cash flow to be received for 2002 is calculated by taking the total cash flow times 5/12, and for the remaining years, the cash flow to be received is equal to the total cash flows. And, finally, for the midy ear factor ,we also take same caution that t are 5 months left to receive cash flows, and payments are made semiannually . Thus, our mid-year factor for 2002 is 5 over 24, and (5+6) over 12 for 2003, and for the remaining years we add 1 to the prior year’s midyear factor.Flexibility by rating Our analysis of the flexibility in allowed debt under each bond rating provided us the maximum allowable unused debt for each rating. We calculated this figure by considering both the interest coverage ratio as well as the leverage ratio, and then using the smaller of the two figures. We calculated the maximum allowable debt using the leverage ratio by multiplying the five-year EBITDA average times the required leverage ratio under each credit rating. The lower the credit rating the larger the allowable debt becomes.By choosing the lower of the two calculations, the maximum allowable debt under credit rating AAA is 278. 9 million and ranges up to 2,456. 6 million for bond rating B. In or der to maintain an investment grade rating, Deluxe’s maximum allowable debt would be 1,023. 5 million. Recommended WACC In calculating the WACC for each bond rating, we altered several components for each. First, the borrowing rate increases as the bond rating decreases. These figures were provided in Exhibit 8. Second, we recalculated beta taking into account the changes in the debt/equity capitalization structure using.The re-levered beta was calculated using the levered and unlevered information. Third, as ratings declined their debt/equity ratio increased and altered their weighted cost of debt. Fourth, their equity/debt ratio decreased as their bond rating declined. Our final calculations of the WACC for each bond rating went from 11. 47% at AAA down to 9. 95% at BBB and back up to 11. 02% at a B rating. We recommend using the debt level allowed under the BBB rating since it maintains our status as investment grade bonds and also provides the lowest possible WACC. Estima te increase in equity valueTo determine the number of shares to be repurchased in the upcoming repurchase program, we used the maximum allowable debt under the BBB bond rating and subtracted our current debt to determine the total funds to be used to repurchase shares. In order to determine the number of shares that could be repurchased, we divided the total allowable debt by the current market per share price. This resulted in a recommended repurchase of 34,175 shares. Next, we conducted a free cash flow analysis to determine the intrinsic enterprise value of Deluxe Corporation.This analysis is similar to the one conducted for the Current intrinsic equity value. However, we lowered the WACC to reflect our recommended credit rating. In estimating the total increase in shareholder value from this repurchase program, we took enterprise value minus the maximum allowable debt at the BBB rating. This gave us the equity value of Deluxe Corporation. Then, we divided the equity value by the current outstanding shares net of the repurchase program. This gave us equity per share value of $63. 24. In comparing this to the old equity per share value, we found an increase of 127%.This is a highly favorable move for the shareholders of Deluxe Corporation. Concluding Recommendation We believe Deluxe Corporation should borrow funds in the amount of $872 million for the stock repurchase program. By borrowing these funds, Deluxe Corporation will be able to increase their equity value per share by 127% while still maintaining investment grade status. Deluxe is aiming for a flexible capitalization structure, and by borrowing more debt we believe they can achieve this due to the high cost of equity. Hedda Gabler Manipulation August Strindbergs Miss Julie and Henrik Ibsens Hedda Gabler, bring out the same themes but with completely different motives. The dominating theme of manipulation is brought out by the characterization and the speech and dialogue of the important characters. Along with the underlying motive of power, in the former its observed for class revenge while in the latter for perverse pleasure out of sheer boredom. The speech, dialogue and stage directions perceived through the course of these plays reiterate this theme of manipulation. Ambition, power, and the thirst to avenge his fate, leads Jean to tamper with Miss Julie. But a mere valet, he dreams of luxuries beyond his reach. Miss Julie, influenced by her childhood, her personality, and her broken engagement makes her an easy prey to Jeans scheming. Her vulnerability becomes greater by the absence of her father, the fact that she in that time of the month, the aphrodisiacs present in the form of dancing, flowers and supported by the festive atmosphere of Midsummers night. Jean takes advantage of her by his carefully planned flattery, exaggerated politeness and hesitation, manners and charm which makes her lower her defences to an inferior person. He goes to the extent of kissing her feet on her demand though his bold advances are halted by her despite her leading him on. In this sado-masochistic relationship of lust, a constant swing of power is seen and the differentiation between the master and servant becomes very vague and is only observed by the reference to money. Jeans character portrays it all: from humbleness and obedience to domination and wrath and back to his position as the valet, when it dawns upon him that she is penniless. Despite his wrath, when he says Have you ever seen a girl of my class offer herself like that? Ive only seen the like among animals and prostitutes  [8]  , Julie holds her ground and spills out her intimate secrets. She puts light on her childhood, on her mother and her ideas of the role reversals on the basis of gender and the tragedy faced by the family by the case of arson, thus indirectly characterising herself. Jean continues to dominate her and exhibits his wrath by the cold blooded annexation of her siskin and becomes a valet again at the arrival of the count. Gone is his domination and arrogance, leaving behind a suppressed and punctured servant obeying his masters command. Hedda, married to Tesman and interested in Lovborg, she dominates them both for personal pleasure. Like a faithful companion, Tesman feels I think its so jolly waiting on you, Hedda.  [9]  In contrast to this, Lovborg defies Hedda on her offer of punch. This appeals to Hedda more than being waited upon. Lovborgs drunk and outcast nature makes Hedda feel connected to a world denied to her because of her class and gender. She thus takes a perverse pleasure in luring him back to the path he walked on before becoming reformed. She subtly starts taking charge of his life by doubting his intention of living a clean life. She does so from the point of view of Judge Brack when she says, The contemptuous smile of his when you were afraid to go in there with them  [10]  . She then unravels Theas doubt in his character to remain free of the dirty path, breaking his confidence as a reformed man and thus taking him back to his old life. Hedda uses her control over Lovborgs life and lures towards his death. She sees Lovborg as her romantic hero who shall face a death with an element of beauty in this.  [11]  She lays out the path for him by manipulating him. She initially brings out Theas distrust, leading him to the bottle again and then gaining a grip on him by getting hold of his manuscript. She then leads him into callously treating Thea by persuading the topic of the lost manuscript despite his wishes. Swayed by this, his lie to Thea about the manuscript and confession in Hedda puts her at an upper hand. Having burnt his manuscript, she subtly leads him to her dream of a beautiful death by handing him a pistol, she was sure would be used. Tesman on the other hand adores Hedda so much that he rejoices at the loss of the manuscript mistaking her intentions for it. Hes presented as a puppet in her hands, present there to hold up her name in society without any passion or desire. In contrast to this, the constant role reversal which takes places between the two main characters in Miss Julie bring out their personalities by the way they communicate. This brings out the differing shades of their characters. Miss Julies aspiration of descend is complemented by Jeans ascend. The distinction between the master and the servant is seen by a very fine line here which is constantly put under pressure. This distinction can only be made on the basis of their class. Their actions reveal their class differences. For instance Julie prefers beer while Jean the finest wine, and Julie leads Jean out. This ambiguity of the power remains till the end, as on one hand Jean does obey the counts orders but on the other hand Julie obeys him and leaves with a blade. In Hedda Gabler, Theas courage to stand up to what she believed in, her deep passion and love for Lovborg and her control over him, is seen as a source of constant irritation to Hedda and is brought out her jealousy and is reinforced by her statement: That girl with the tiresome hair, that she was always showing off.  [12]  Theas feminity along with the fact that she had taken away the one thing that Hedda loved the most Lovborg, causes Hedda to manipulate them both. Underlying motives of power, through perverse pleasure and out of ambition leads to the decline of the characters portrayed in both these books as has been observed by their speech and dialogue and stage directions.

If was working there at the time, I would be proactive when handling such issues by devising contingency plan that would mitigate these dilemmas before they arise. If I was privileged to be CEO of this company, I would have enforced fundamental measures that would ensure there is integrity in all the standard operating procedures of the firm. If my firm and integrity were put on the spot, I would form a philosophy encouraging pro-active ness. If the allegations are confirmed, I would remove all products from the company storage for further investigations to determine the cause and call a press conference to discuss the issue at hand with the public. The public have to be made aware that the company is worried about everyone and it is not only focused on profitability. The company can depict ethics when it convinces everyone that it will maintain safety and health standards. If the company does not adhere to ethical practices to consolidate its market base, it will have a bad reputation of producing contaminated products and this may taint its image in future. ALTERNATIVES The company has issued a recall of the product that has been affected, but is depending on primarily on the media to get the information to the public. The company may possibly carry on with that technique, since it estimates that almost 80 percent of the newspapers contain the story, however it may not be smart to presume that the consumers will obtain news in that manner and that manner only. The company is required broad in distributing the information not limiting it to just newspapers. An additional matter that needs to be addressed is how the company should treat victims of the poisoning. The company may decide to give no reimbursement to victims willingly, however as an alternative wait until the source of the poisonings is determined and whether the company is going to be held legally responsible. Instead of making a public proclamation offering reimbursement to victims, Nutritional Foods could approach victims confidentially and propose to pay their medical bills, or facilit ate in any way required. This kind of help could be kept a secret from the journalists and media and contracts could be made with each victim so they know not to speak of it. RECOMMENDATIONS Nutritional Foods Inc. is to take action to relay information, involving the recall of the dispatched products through various channels of the media. With such measures, the company will be enhancing their nearly spoiled reputation and also make strides towards ensuring that many of its targeted consumers get this information about the recall of its products. This whole step towards recall will be based on the ethical principle standards which states that a good for many must always come first, and that the public disposal of information through the use of web pages will indicate clearly the company’s intention of not wanting to hide the information from the consumers, making this an important component of the Ethical behaviors in business (Manuel, 2008). When it will be publicly known that an existing organization will do whatever to its ability to ensure all of its customers are protected from matters or issues that arise concerning their products. On my recommendations towards compensation of the affected, I would urge Nutritional Foods Inc. to get in touch with the victims on a one to one basis and reach an agreement on how they will compensate them and also settle their medical bills. This given approach despite of who is responsible for food poisoning is the ethical of choice (Manuel, 2008). Consumers who in our case bought the unpasteurized products with total confidence in us, and as a company obtained a good rep of natural foods which are of quality to the public. Nutritional Foods Inc. should establish best how they will compensate the affected consumers who were part of the food poisoning crisis. Given it is a company on the rise, its chances of surviving is high if it takes the stated procedures and executes them well to avoid making it look messier. FUTURE IMPLICATIONS for RECOMMENDATION The company is poised to make a good image of its products, regaining the confidence it had bestowed on its base of consumers ensuring there’s no conflict of interest or hostility between them and the consumers. Other businesses in the same industry won’t try to take advantage of the situation at hand facing Nutritional Foods Inc. maintaining the healthy relation existing in the market. Other industries will stick to the good ethics of carrying out business and will follow suit in terms of conveying information to their consumer’s in-case of any errors made by them concerning their products. CONCLUSION The expectation of consumers is that the food they consume is safe, and furthermore those who buy the unprocessed organic foods anticipate elevated level of safety and health. Nutritional Foods has tackled this predicament well so far, but a lot more still needs to be done. The company must keep on performing and running in the prospect of the public, giving as a great deal of information as it can about the conditions and keeping everyone up to date as to the cause and what Nutritional Foods is doing about it. Hard Drives Hard drives have been around longer than you think. In 1956, I. B. M. had invented a disk storage unit that was very large but did not store a lot of data. It was twenty-four inches in diameter and could hold only five megabytes, which is the equivalent to three and one half floppy disks. Originally called â€Å"fixed disks† later became known as â€Å"hard disks† opposed to floppy disks. In 1973, I. B. M. released a hard drive that could hold seventeen and one half megabytes. In 1980 Seagate made the first five and one quarter inch hard disk. In the late 1980’s, three and one half inch hard disks were invented (PCIN). Although there are smaller hard disks as small as two inches in diameter, three and one half inch hard disks have been made a standard and is used most often today. The capacity in hard drives has excelled thousands of times all over from five megabytes to one hundred sixty gigabytes (160,000 megabytes) which is the equivalent to one hundred eleven thousand one hundred eleven floppy disks. The hard drive or hard disk is one of the most critical components in the operation of a computer. It is also one of the only moving parts in the computer. Sadly, many people do not know the important role it has in the storage of their data or how it even works. When you think of your hard drive, think of it as the computer’s electronic filing cabinet. Everything you load, download, or save is stored on the hard drive. In fact, ten percent of your hard drive is already used when you purchase your computer because it needs certain system operating files that are required to make the basics work. Everything you add later such as word processors, antivirus software, e-mail software, games, and internet software are extra, soon leading to an over stuffed filing cabinet (Matthew Ferrara Seminars). His wife and kids died from the plague but he survived. He survived because when he was dying a dragon appeared in his mirror and offered him immortality which he accepted. But the price of immortality was eternal service to the dragon. Now Justin lives in his night club in Chicago called Gwendolyne’s Flight. Still serving his dragon master. Sandra is a homicide detective in Chicago. She is divorced and lives with her younger brother Benny. Sandra is investigating strange murders which seem to be comitted by the same person. She has few and very strange clues. She tries to clear her head and go’s out where she meets Justin and gets involved with him. With time she gets closer to the unbelievable truth that dragons exist and that Justin is the murderer that she is trying to find. She also discovers that he can chance into a dragonling (some sort of mini dragon) that has many strange powers. As she gets closer to the truth the dragon gets angrier at Justin for not killing her to conceal the dragons existence and makes Justin feel more and more pain as he delays it. Mean wile Kalsar one of the dragons servant who hates Justin makes it harder for Justin to hide the truth from Sandra. When Sandra has discovered the truth Justin tries to convince her to join the dragon and become immortal. While she is thinking about it Justin convinces her brother to join the dragon and he accepts. When she finds out she gets mad and does not want to talk to him. Mean wile Kalsar tries to kill her to help Justin please the dragon. But Justin manages to hold him of but when she refuses to join the dragon the dragon makes Justin feel so much pain that he cant resist killing Sandra.

Dying Wishes In the court of law, the â€Å"dying declaration† is the only form of testimony that a Judge will not rule out as hearsay. The logic being, that a man at the very edge of his life has nothing to lose, so therefore would have no reason to lie. In Sophocles’ tragedy, Women of Trachis, several characters make dying declarations, some of them, in fact, lies! These deathbed declarations, allow us to see into the minds of these characters. When the story opens, Deineira has been getting worried that something terrible has happened to him.She sends her son, Hyllus off to Eurytus to look for the lost warrior. Heracles’ herald, Lichas makes up a story about how Heracles was enslaved due to King Eurytus, and got his revenge by destroying the land and taking their women. However, a messenger points out that the whole reason Hercules ransacked the city was so that he could have the beautiful Iole for himself, for whom he was â€Å"hot with desire. † Inste ad of being furious with Heracles for being unfaithful, she eschews the blame to the gods of love, who â€Å"temped† him.It is then that she recalls the death wish of Nessus the centaur. As Nessus laid impaled with Heracles’ poison arrow, he whispered to Deineira that if she kept his clotted blood, she could use it later to â€Å"Charm on the mind of Heraclues so he will never see a woman he loves more than you. (87)† While it is generally uncommon for people to tell a lie on their death bed, this case was certainly an exception. Deineria was extremely naive to believe that a beast who had just been killed by her own husband would do her a favor.It seems perfectly clear that the centaur would want to avenge his own death by killing Heracles, which he ended up doing posthumously, because Dieneria took his word for it. She doesn’t realize until after her husband’s death what the beast’s true intentions were. Had Dieneria not put all her trust in the centaur, and assigned Heracles more blame for his ownshortcomings, the story might have had a happier ending. Once Dieneria hears that her attempt to â€Å"charm† Heracles has ended up causing Heracles a long, painful death, she kills herself in anguish.As Heracles is dying, throbbing with pain, he makes two grueling requests of his son Hyllus. First, he asks Hyllus to take him to the top of the mountain, chop down some trees, and set him on fire, to take him out of his misery, a task a son should never have to do to his own father.
